Freshworks to Acquire Torii to Add Software, AI Spend Management

The Torii deal pushes Freshworks beyond service desks into spend management, giving existing Freshservice customers a route to audit their SaaS and AI subscriptions.

A dispatch from Yahoo Finance

Freshworks is buying AI cost control for IT first, and support teams shouldn't assume they get it

Freshworks said on Monday in October 2026 that it has signed a definitive agreement to acquire Torii, a New York-based SaaS management company that tracks what organisations spend on applications and AI. No financial terms were given. The deal is expected to close in the fourth quarter, subject to the usual conditions. Torii's capabilities are headed for Freshservice, Freshworks' IT service management platform. Freshworks says Torii measures AI usage by the token, charges the cost back to the teams generating it, and forecasts future spend. MT Newswires (via Yahoo Finance) and The Economic Times reported the news.

What is Freshworks actually buying?

Torii, a New York-based SaaS management platform that tracks software applications, licences, user identities and AI spending. Freshworks plans to fold it into Freshservice, its IT service management product.

The Economic Times frames the pitch as visibility, set against "rising costs and security risks" from growing SaaS and AI use. Our read is that the identity and licence tracking is the established part of this category. The AI cost attribution is the new selling point, and it is the part with the least public detail.

Bundling this into a service desk product also makes IT the owner of a question that finance teams usually ask.

Does this change anything for customer support teams?

Not on the published evidence. The reports we read tie the deal to Freshservice, the IT service management platform, and say nothing about Freshworks' customer-facing support tools.

One of the reports was cut off mid-sentence in the copy we had. Read "nothing" as "nothing we could see", not as a confirmed no.

The link to support is indirect. If your AI agents or assistants are billed on usage, their cost lands in the same ledger Torii is built to read. That fits our earlier coverage of tool sprawl and of the Freshworks CEO's remarks on software and AI working together. It is a consolidation of oversight, not a new support feature.

How far should buyers trust the token-level claim?

Treat it as a vendor description until tested. The claim comes from Freshworks, and the coverage offers no customer results, accuracy figures or deal terms to check it against.

"Token level" sounds precise, but precision depends on what Torii can actually see. Usage data has to come from AI providers or the apps wrapping them. The coverage does not say which sources are supported, or how costs are split when several teams share one account. Cost allocation is a modelling choice as much as a measurement, and whoever defines the rules defines the answer.

Forecasting is an extrapolation from past usage. No accuracy claim has been published. With no price disclosed, we also can't tell whether Freshworks bought a product, a customer base or a team.

What should I ask my vendor now?

Ask whether the capability will be included in your plan or sold separately, which products it will cover, and when it ships relative to the expected fourth-quarter close.

Until closing, Torii and Freshworks remain separate companies, so roadmap talk before then is intent, not product. Also ask which AI providers and billing sources are supported, and whether team-level cost allocation can be exported to your finance system. Since the Economic Times lists user identities among the things the product tracks, ask how that data is handled and who can see it.
